Terms of Service

1. Acceptance of terms
By creating an account, purchasing a subscription, or using the Sarase service (collectively, the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms form a binding legal agreement between you (“Customer”) and Mangu Dev LLC, the company that operates Sarase (“Sarase,” “we,” “our”).
2. Description of service
Sarase provides an AI-powered virtual receptionist that answers phone calls and SMS messages on behalf of small businesses. The Service includes appointment booking, calendar synchronization, call transcription, customer record management, and a business dashboard.
3. Account responsibilities
- You must be at least 18 years old and authorized to bind your business to these Terms.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity on your account.
- You agree to provide accurate business information including legal business name, contact information, and services offered.
4. Acceptable use policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree that you will NOT:
- Use the Service to send unsolicited marketing, cold outreach, or bulk broadcast messages of any kind.
- Upload, import, or message any contact list that was purchased, scraped from the internet, rented from a third party, or otherwise obtained without the direct consent of each recipient.
- Publish your Sarase-assigned phone number on third-party lead directories, ad networks, or any channel where you do not directly own or operate the publication context. The Sarase number may only be displayed on your own website, your own Google Business profile, your own social media accounts, your own physical location signage, and in materials you distribute directly to existing customers.
- Use the Service to distribute content that is illegal, harmful, harassing, defamatory, obscene, or that violates the intellectual property rights of others.
- Send messages related to direct lending, short-term loans, or any category prohibited by U.S. mobile carrier policies or the CTIA Messaging Principles and Best Practices.
- Send messages containing age-gated content (alcohol, tobacco, firearms, cannabis, adult content, gambling) without explicit carrier approval and age-verification controls.
- Interfere with or disrupt the Service, attempt to access it by unauthorized means, or circumvent rate limits or security controls.
- Use the Service in any way that violates applicable law, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state privacy laws, or carrier A2P 10DLC registration requirements.
Violation of this acceptable use policy may result in immediate suspension or termination of your account and forfeiture of prepaid fees.
5. SMS messaging compliance
Sarase SMS Program disclosure — Program name: Sarase Notifications. Message frequency varies based on appointment activity (typically 1–10 messages per appointment cycle). Message and data rates may apply. For help, reply HELP or email [email protected]. To stop receiving messages at any time, reply STOP. After replying STOP, you will receive one final confirmation message and no further messages will be sent.
Sarase’s SMS messaging is customer-initiated: end users opt in to receive SMS replies by texting the business’s Sarase-assigned number first. Sarase does not enable cold outreach or broadcast messaging. You agree that:
- You will honor all opt-out requests immediately. Sarase automatically processes the keywords
STOP,STOPALL,UNSUBSCRIBE,CANCEL,END, andQUIT, and will stop sending SMS to a number that replies with any of those. - You will respond to
HELPandINFOkeyword requests with clear contact information. - You will not attempt to circumvent opt-outs by using a different number, platform, or channel to re-contact a user who has asked to stop.
- You understand that carriers may independently suspend delivery of messages they judge to be in violation of their policies, even if those messages comply with Sarase’s requirements.
6. Fees and payment
- Subscription fees are billed monthly in advance through Stripe. Usage overages (if any) are billed at the end of the billing period.
- Fees are non-refundable except as required by law or explicitly stated otherwise in writing.
- You may cancel your subscription at any time from the billing portal. Your account will remain active until the end of the current billing period, after which access ends.
- Sarase may change pricing with at least 30 days’ notice before the next billing cycle.
7. Customer data and ownership
You retain all rights to the data you and your end users provide to the Service (“Customer Data”). You grant Sarase a limited license to process Customer Data solely for the purpose of operating and improving the Service. Sarase’s handling of Customer Data is governed by the Privacy Policy.
8. Third-party services
The Service integrates with third-party providers (including Twilio, LiveKit, Google Gemini, Deepgram, Cartesia, Stripe, and Google Calendar). Your use of those integrations is also subject to their respective terms. Sarase is not responsible for the acts or omissions of third-party providers.
9. Service availability and support
Sarase strives to provide reliable service but does not guarantee uninterrupted availability. We may perform maintenance that temporarily affects the Service and will make a reasonable effort to give advance notice. Support is provided by email and dashboard chat during business hours.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SARASE DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SARASE’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID TO SARASE IN THE TWELVE MONTHS PRECEDING THE CLAIM. SARASE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
12. Indemnification
You agree to indemnify and hold Sarase harmless from any claims, losses, or damages arising from your violation of these Terms, your misuse of the Service, or your violation of any law or third-party right. This includes claims brought against Sarase by telecommunications carriers for messages sent through your account in violation of these Terms or carrier policies.
13. Termination
Either party may terminate these Terms at any time. Sarase may suspend or terminate your account immediately if you breach these Terms, and in particular if you violate the acceptable use policy in Section 4. Upon termination, your right to use the Service ends and your data will be deleted in accordance with the retention policy in the Privacy Policy.
14. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Broward County, Florida.
15. Changes to these terms
We may update these Terms from time to time. Material changes will be announced on this page with an updated revision date. Continued use of the Service after a change indicates acceptance of the updated Terms.
